Work with members of the Legal team and cross-functional stakeholders on a broad array of corporate matters including mergers & acquisitions, corporate and commercial finance, investments and joint ventures, financial reporting to equity and debt holders, real estate, stakeholder engagement, international expansion, and equity administration.

Lead legal aspects of financing transactions and day-to-day legal support for Treasury and Tax matters. Assist Treasury with financial compliance matters.

Provide support for strategic transactions, including M&A, corporate venture investments, corporate financing transactions, and related workstreams. Provide leadership for legal aspects of transactions, including advising senior executives on complex and high value risk matters, managing deal processes, coordinating due diligence reviews and assessing and reporting on the results of diligence efforts, collaborating with cross functional transaction teams and drafting and negotiating deal documentation, assisting on regulatory filings, closing deals and managing post-closing integration and disputes.

Support corporate governance activities, including those related to M&A and other strategic transactions.

Support transactional needs of the Real Estate and Facilities Departments.

Manage transactions in Company securities and administer Company equity incentive plan in all respects.

Stay current on corporate law trends and best practices, including new rules and regulations or benchmarking projects.

Negotiate certain commercial agreements, engagement letters, non-disclosure agreements.

Assist, counsel, and promote the Company's ESG strategy and initiatives.

Engage and manage outside counsel and other third parties as needed.

Develop and maintain effective professional relationships with Company's key internal stakeholders.

Contribute to Legal Department initiatives and decision-making and uphold the Legal team's values.


JD degree from an ABA accredited US law school and a member in good standing of the state bar of at least one state.

At least [5] years of progressive corporate M&A, and securities law experience, commencing at a law firm that habitually works with public and large private companies, with some in-house experience preferred.

Expertise in corporate, securities, investments, and other corporate transactions.

Ability to analyze complex issues, assess risk, balance different perspectives and needs, and provide confident and concise business-focused support and solutions in the context of the Company's commercial goals and risk thresholds.

Flexible and able to organize, prioritize and complete multiple priorities and projects (internally and externally) in a fast-paced and frequently changing environment.

Ability to approach one's work and clients with a sense of ownership.

Sense of humor -- a must. The drier the better.

Excellent written and verbal communication skills, excellent organization skills, and demonstrated ability to establish trust and build strong working relationships with internal stakeholders.

Excellent judgment, attention to detail, and ability to handle sensitive and confidential information.

Comfort with technology and approaching solutions with a technology-first mindset; better Powerpoint skills than the Assistant General Counsel.
