Reporting to Group General Counsel & Board Secretary you will be responsible for overseeing the running of activities inherent to the operations of Zegna Group Companies' governing bodies, preparing each meeting in support of the relevant Chairman and the senior management, and drafting various corporate documents and minutes. Moreover, you will contribute to the administration of Zegna Group Companies corporate governance system in compliance with the set of soft and hard law applicable to it and advise the Group General Counsel & Board Secretary on the ongoing evolution of the national and international scenarios, developing proposals to keep the system up to the Group's standards and addressing specific governance topics raised by institutional investors, proxy agencies and private shareholders.


  • Ensure the corporate governance system administration and its development
  • Draw-up the legal and governance sections of the US and Dutch annual reports and other market disclosure documents
  • Coordinate the preparation and completion of the US and Dutch annual reports and other disclosure agreements
  • Draft memoranda and answer questionnaires in support of relations with institutional investors, analysts and proxy agencies regarding the corporate governance matters
  • Continuously update the corporate governance section of the website, in compliance with the relevant regulatory provisions and best practices
  • Participate in trade associations in relation to governance matters

ZegnaGroup Companies Legal Secretariat:
  • Guarantee the preparatory activities regarding the functioning of Zegna Group Company's corporate bodies, including the holding listed company, as well as the relations with the members of these bodies
  • Cooperate with all relevant Group functions in carrying out extraordinary operations for corporate related matters
  • Ensure the correct implementation of the System of Powers consistently with the internal regulatory framework
  • Support the relevant Group functions in managing the relations with supervisory authorities and SEC within the competence area
  • Adopt all the company provisions related to Board resolutions, in compliance with the regulatory framework
  • Keep Zegna Group Companies Registers up-to-date
  • Supervise and coordinate the activities of the functions entrusted with corporate responsibilities worldwide
  • Provide advice on corporate affairs to Zegna Group companies, ensuring that the Group corporate affairs are in order
  • Guarantee the preparatory activities regarding the functioning of the holding company's Board of Directors as well as the relations with its members
  • Support the Group General Counsel & Board Secretary in the preparation of the legal and governance material presented to the holding company's Board of Directors and its Committees
  • Eventually manage the shareholding of newly acquired Companies as for corporate affairs matters, providing for the necessary corporate actions
  • Ensure that all activities related to the insider trading regulations are performed
  • Support the Supervisory and Control Bodies in their activities and coordinate the information flow with the control bodies of the participated companies


You are a graduate in Law or similar with 4 years minimum of experience in a primary law firm and are at your best in cross-border legal environments.
You have:
  • Knowledge of Italian corporate law
  • Fluency in spoken and written English
  • Experience in listed Companies, preferably NYSE
  • If coming from a corporate experience more than 6 years would be required
