JOB PURPOSE

The Company Secretariat team is responsible for supporting Burberry in achieving best practice in corporate governance, public disclosures and regulatory filings affecting Burberry and its subsidiary and joint venture companies globally. We are seeking a qualified chartered secretary to join the team to provide an efficient and high-quality company secretarial service to the Group.

RESPONSIBILITIES

  • Assisting with the delivery of the Burberry Annual General Meeting;
  • Assisting with the preparation and production of the Burberry Annual Report and ancillary shareholder documents;
  • Co-ordinating and ensuring provision of services to Asia Pacific and Americas group companies through liaison with local lawyers/Co Sec agents and internal corporate functions;
  • Liaising with the Reward & Recognition team on the Group's all employee share schemes, managing the allotment of shares and liaising with the employee benefit trust;
  • Administering Burberry's Hedging strategy for employee share plans;
  • Providing Company Secretarial expertise on relevant subsidiary restructuring projects;
  • Drafting and releasing Stock Exchange Announcements;
  • In conjunction with the Company Secretary, ensuring compliance with the requirements of the Companies Act and UK Listing Rules; and
  • Drafting quarterly team updates for the Corporate Affairs Newsletter Acting as the department co-ordinator for Business Continuity.

Additional responsibilities may also include the responsibility to act as Secretary to the management's Data Protection Steering Committee and involvement in other plc Board related projects as appropriate.

PERSONAL PROFILE

Key skills and experience:
  • ICSA qualified, listed company experience - ideally 4+ years with a minimum of two year's PQE in a UK listed company environment;
  • Strong subsidiary governance experience, preferably including international subsidiaries across APAC and Americas;
  • Technical knowledge of Companies Act and UK Listing Rules, in the context of both plc and subsidiary accounts approval, director and shareholder meeting process, director share dealings;
  • Share schemes administration experience;
  • Working knowledge of Diligent Entities;

  • Attention to detail and good drafting skills;
  • A team player with a positive "can-do" attitude, the ability to quickly grasp and solve complex problems including looking for solutions;
  • A demonstrated ability to influence stakeholders and communicate at all levels;
  • A demonstrated ability to develop and maintain key relationships, working as part of a cross-functional team, ideally within a global organisation; and
  • Self-motivated, with collaborative and team-orientated approach.
